Terms of Use — VendMe

1. Acceptance

Registering for or using the Service constitutes full acceptance of these Terms and of the Privacy Policy, which forms an integral part of them. If you do not agree, please do not use the Service. We may update these Terms from time to time; material changes will be announced in-app or by email, and continued use after the effective date constitutes acceptance. The Hebrew version is the binding version.

2. Definitions

"The Service" — the VendMe mobile application and related online services: a B2B marketplace organized by industry sectors, including a listings feed, product catalog, deals and orders, chat and calls, transports, digital agreements, market prices, and AI tools. Operated by VENDME LTD, Israel ("VendMe"). "User" — a person or entity registered to the Service; "User Content" — any content a user uploads or sends; "Transaction" — an engagement between users formed via the Service.

3. Eligibility & business use

The Service is for business (B2B) use only, by users aged 18+. The registrant represents that they are authorized to act for and bind the business, and that the business details provided — including the business/tax registration number — are true and current. Registration requires verifying your phone number and email address; impersonation or providing false details is prohibited. To the extent permitted by law, consumer-protection provisions applicable to private consumers do not apply to business-to-business transactions on the platform.

4. VendMe is not a party to transactions

VendMe is a connection platform only and is not a party to any transaction, agreement, or transport between users. Responsibility for product quality, weight, price, payment, delivery, and legal compliance rests solely with the transacting parties. VendMe does not verify and does not guarantee product quality, kashrut, regulatory compliance, creditworthiness, or delivery performance of any user; each party must perform its own due diligence.

5. Business profile & information exposure

Upon registration, your business profile — name, business, city/region, bio, gallery, catalog, ratings, activity statistics (completed orders, cancellations), and approximate (~1 km) location — is visible to all members of your sector. New members are automatically featured in the sector feed as a "welcome" card for a limited period (about 30 days). Phone numbers and WhatsApp links are never shared with a counterparty; entering a shared deal, order, or transport shares the parties' business address and website for its performance. 6. User content & license

You retain ownership of content you upload. You grant VendMe a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit (including to sub-processors and push-notification infrastructure), create derivative works from (such as transcripts, deal summaries, and signed documents), and display your content, as needed to operate and improve the Service. You represent that you hold all rights in content you upload. Content delivered into a conversation or transaction may remain available to its recipients — including after deletion of your account — and may be shared by them (e.g., contact cards and signed-agreement PDFs). Deleting a deal, order, or conversation removes it from your own view only and does not delete it for the other party; transaction records approved or signed by both parties are preserved for both.

7. Prohibited use

It is prohibited to: impersonate another; harass, incite, or defame; upload unlawful or infringing content; list prohibited products; send spam; scrape or access the Service by automated means; circumvent technical or permission controls; distribute malicious code; or interfere with the Service. Contact details of other members obtained through the platform may be used solely for platform transactions, and knowingly false reports against other members are prohibited. A user who provides personal details of a third party (e.g., a marketer's phone number or a contact card) represents they are entitled to provide them and that the third party consents.

8. Call recording

In-app voice and video calls are automatically recorded (audio only) and machine-transcribed to document the deal. The transcript is available to both call participants, and a persistent "recorded" indicator is shown during every call. Placing or answering a call constitutes consent to this recording and transcription. Recordings and transcripts are processed by sub-processors (call infrastructure, storage, and speech-to-text) and retained per the Privacy Policy. If you do not consent — do not place or answer calls in the app.

9. AI tools

The Service includes AI tools: a personal assistant, transcription of voice messages and calls, and extraction of deal summaries from chat conversations. Sending a message in a business conversation includes consent that it may be included in a deal-summary request initiated by the other party and processed by external AI providers. AI outputs (transcripts, summaries, assistant answers) may contain errors and are not advice; each party is solely responsible for reviewing all details — products, quantities, and prices — before approving or signing. VendMe is not liable for reliance on AI output.

10. Deals, digital signatures & orders

Approving and digitally signing a deal in the app constitutes a binding electronic signature, and a deal signed by both parties is a binding agreement between them. For documentation and verification, the system collects and embeds signature evidence in the signed document: IP address, browser/device identifier, timestamps, and an action log, alongside the parties' details. An order is created only after both parties approve. After both parties sign, cancellation is controlled by the seller; a buyer seeking to cancel submits a cancel request for the seller's approval. Post-signature operational updates (such as weighing or merging same-buyer orders) do not void signatures. Cancelling or rejecting a deal requires stating a reason, which is shown to the other party and stored on the record.

11. Credit & collateral agreements

The platform provides tooling for users to execute credit/collateral agreements between themselves. VendMe is not a party to these agreements, does not extend credit, and does not guarantee their repayment. Signing such an agreement involves uploading identifying documents (an ID document; for a company — a business stamp and registration deed), which are stored in access-restricted storage and visible only to the agreement's parties. Responsibility for the legality and enforceability of the arrangement rests solely with the parties.

12. Transports

A transport request is an engagement between the requester and the carrier. VendMe is not a carrier, freight broker, or insurer, and is not responsible for the goods, delivery timing, or damage in transit. The system records transport lifecycle steps (pickup, delivery, receipt confirmation) with server timestamps and an immutable action log; the parties agree this record may be used to resolve disputes. Addresses and pickup/dropoff points are shared with the assigned carrier.

A transport request that no carrier takes closes automatically at the end of the period shown on the listing. The requester is notified before closing and may extend the listing, update its deadline, or republish it. An automatic closure is recorded in the action log together with its reason and is not counted as a cancellation by the user.

13. Ratings & reviews

Users may rate and review transaction counterparties. By transacting, users consent to receiving public ratings and to display of aggregate performance metrics (rating average, completed orders, cancellations) on their profile. Reviews must be truthful and based on a genuine transaction. VendMe does not pre-screen reviews and is not responsible for their content, but may remove reviews that violate these Terms.

14. Information & market prices

Market prices and informational data are displayed from external public sources (such as the Ministry of Agriculture and the Plants Board) AS-IS, may be inaccurate or out of date, and are not a recommendation or a pricing basis. VendMe is not liable for decisions based on this information or on AI-assistant answers.

15. Business verification & the "verified supplier" badge

Business verification is a condition for performing commercial actions in the Service, not a condition for using it. The feed, search, market prices, the supplier directory, and business profiles are open to every registered user — including before verification is completed.

Until verification is completed, the following actions are blocked, among others: publishing content and listings in the Service, writing a public comment on another user's content, sending a friend request, uploading images to your profile gallery, rating a counterparty and writing a review, starting a conversation with another user, and purchasing a subscription.

Beyond those actions, commercial areas of the Service require verification and are unavailable until it is completed — among them deals and orders, and product catalog management. Some of these areas are also not shown in the navigation menus; others are shown there but do not open until verification is completed. A blocked action is not carried out and a blocked area does not open; depending on the case, a verification message is displayed, or the option is not shown at all, or the content is shown read-only. VendMe may update the list of actions and areas requiring verification, with notice in the app.

Separately from verification: some commercial capabilities are not active in the current launch version of the Service and are unavailable to Service users — including verified businesses — other than operational access by the VendMe team. These include: drafting and signing credit and collateral agreements; nearby-distributor discovery and opening a transport request yourself from within the app; groups; group buying; business team management; broadcast lists; farmer-to-marketer linking; and the smart personal assistant (chatting with the AI assistant). Their absence does not stem from business verification, and completing verification does not open them. VendMe may enable these capabilities later, with notice in the app.

Two clarifications to the preceding paragraph, so that it is not read more broadly than it is. First, digitally signing a deal summary is fully active for every user and is not on that list — the list concerns credit and collateral agreements only; section "Deals, digital signatures & orders" above applies as usual. Second, transcription of voice messages and calls and extraction of deal summaries are active as usual — only the personal assistant is not.

Transports are active in the Service and are performed by carriers registered in the app. In the current launch version a transport request is opened in coordination with the VendMe team rather than by the user from within the app. Section "Transports" above applies to every transport created in the Service, regardless of how it was opened.

Verification requests are reviewed manually by the VendMe team. There is no undertaking as to review time or outcome, and a request may be rejected. Rejection does not entitle a refund of subscription fees paid; a request may be corrected and resubmitted.

A verification badge reflects a limited document check at a point in time, is granted and revoked at VendMe's discretion, and is not a warranty, endorsement, or guarantee of any user's reliability, solvency, or quality. Perform your own checks.

16. Subscriptions & payments

Parts of the Service require a paid subscription. Current plans and prices are presented in the app and include VAT as stated at checkout; prices, plans, and their contents may change with prior notice. At this stage, purchases are completed with the VendMe team, with no automatic charge and no automatic renewal. We do not store credit card details; if a payment processor is enabled, details will be entered directly with it. VendMe may change plan composition and usage limits (e.g., catalog size and search results), and these limits may be enforced technically.

17. Moderation & enforcement

VendMe has a zero-tolerance policy toward objectionable content and abusive users. A post, a chat or general-forum message, and a user can each be reported directly from within the app. Every report is recorded in the moderation queue and alerts the team immediately, and is reviewed and acted on within 24 hours: the infringing content is removed — a post is hidden from every user's feed and a message is deleted from the conversation — and enforcement is taken against the account that posted it, up to suspension and closure.

VendMe may remove content, restrict features, suspend, or terminate an account — immediately and without prior notice — for violation of these Terms or the law, fraud, or risk to users; notice will be given where reasonably possible. The Service includes automated enforcement mechanisms, including a temporary forum posting ban (10 days) for a user reported by 10 distinct members, and a visible report indicator. Group owners and admins may delete messages and remove participants in their group; inactive groups are automatically closed after about 7 days. A user can be blocked from a private chat or from their profile page; a block prevents messages and calls between the parties in both directions and removes the blocked user's posts from your feed.

18. Account deletion

You may delete your account at any time (Settings ← Delete account). Deletion permanently closes the login and removes the profile's identifying details (the name is replaced with "Deleted user"). Business records (orders, signed deals, payments) are retained as required by law, and content already delivered to other users (messages, documents, transcripts) remains available to them. 19. Service changes & availability

VendMe may modify, add, remove, or discontinue features, deliver automatic software updates, and take the Service down for maintenance. The Service also depends on third-party infrastructure, and continuous or fault-free availability is not guaranteed.

20. Limitation of liability & indemnity

The Service is provided AS-IS without any representation or warranty, including as to availability, accuracy, or fitness for purpose. To the extent permitted by law, VendMe shall not be liable for indirect or consequential damages or lost profits, and its aggregate liability shall not exceed the amounts the user paid VendMe in the 12 months preceding the event. The user shall indemnify VendMe for any claim or damage arising from their content, their transactions, or their breach of these Terms. VendMe shall not be liable for delay or failure caused by force majeure.

21. Intellectual property

All rights in the Service — code, design, trademarks, and content that is not User Content — are reserved to VendMe. Copying, reproducing, or making commercial use of the Service without prior written permission is prohibited.

22. Service communications

Operating the Service involves sending operational communications — push notifications (including message previews), verification SMS, and transactional emails. Notification categories can be controlled in settings. Referral links are personal, and signups through them are attributed to the inviter; VendMe may modify or discontinue the referral program.

23. Miscellaneous

If any provision is held invalid, the remaining provisions remain in force. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties. VendMe may assign its rights; a user may not assign without written consent. Non-enforcement of a provision is not a waiver of it. Legal notices: office@vendme.net.

24. Governing law & jurisdiction

These Terms are governed solely by the laws of the State of Israel, and exclusive jurisdiction is vested in the competent courts of the Tel Aviv–Jaffa district.
